2. Ownership of Intellectual Property

Unless otherwise agreed in writing, all intellectual property created, developed or supplied by We Catch It remains the property of We Catch It until all outstanding invoices have been paid in full.

This includes, but is not limited to:

• Website designs
• Source code
• Software
• AI workflows
• Automation systems
• CRM integrations
• Templates
• Branding concepts
• Graphics created by We Catch It
• Written content created by We Catch It
• Documentation
• Custom scripts
• Databases
• APIs
• Business processes
• Prompt engineering
• Internal methodologies

3. Client Content

The Client retains ownership of intellectual property they provide to We Catch It, including:

• Logos
• Photographs
• Videos
• Written content
• Product information
• Trademarks
• Marketing materials
• Company branding

The Client confirms they have the necessary rights and permissions to use all content supplied.

4. Website Ownership

Where a bespoke website has been commissioned and paid for in full:

• ownership of the agreed website design and client-specific content may transfer to the Client;
• We Catch It retains ownership of any proprietary software, reusable code, frameworks, templates, libraries and development tools used to create the website.

Unless expressly agreed in writing, ownership does not extend to underlying software or reusable systems developed by We Catch It.

5. Software Licences

Many services rely on third-party software, plugins, APIs and cloud platforms.

These remain the intellectual property of their respective owners and are licensed in accordance with their own terms.

Examples include:

• WordPress plugins
• OpenAI services
• Twilio
• Stripe
• Google services
• Microsoft services
• Meta services
• Calendly
• Zapier

Clients receive only the rights necessary to use these services as part of the agreed solution.

6. AI Systems and Automations

All AI workflows, chatbot configurations, automation logic, prompt libraries, integrations and business automation processes developed by We Catch It remain our intellectual property unless otherwise agreed in writing.

Clients receive a licence to use these systems while their service remains active.

7. Subscription Services

Where services are provided under a monthly or annual subscription, including hosting, AI services, automations or maintenance:

• ownership of the underlying platform remains with We Catch It;
• clients receive a non-exclusive, non-transferable licence to use the services during their active subscription.

Termination of a subscription may result in access being withdrawn where appropriate.

8. Hosting

Hosting infrastructure, server configurations, security systems, backups and monitoring tools remain the property of We Catch It or its infrastructure providers.

Hosting fees do not transfer ownership of servers or hosting platforms.

9. Domain Names

Where We Catch It registers a domain on behalf of a client, ownership will normally be registered in the client's name where possible.

Where a domain is temporarily registered in the name of We Catch It for administrative purposes, it will be transferred upon request once:

• all outstanding invoices have been paid; and
• any applicable transfer fees have been settled.

10. Marketing Materials

Marketing campaigns, advertisements, SEO strategies and content created specifically for a client may be used by the client once paid for in full.

General marketing methodologies, templates and proprietary processes remain the intellectual property of We Catch It.

11. Portfolio Rights

Unless otherwise agreed in writing, We Catch It may display completed projects within:

• our website;
• portfolios;
• presentations;
• proposals;
• social media;
• case studies;
• marketing materials.

Confidential information will not be disclosed without permission.

12. Licence to Client

Upon full payment, We Catch It grants the Client a non-exclusive licence to use the deliverables supplied for their intended business purposes.

The licence does not permit:

• resale;
• redistribution;
• sublicensing;
• reverse engineering;
• copying for commercial resale.

Unless expressly agreed in writing.

13. Unpaid Accounts

Where invoices remain unpaid, We Catch It reserves the right to:

• suspend licences;
• suspend hosting;
• disable websites;
• withhold source files;
• retain ownership of deliverables until payment has been received in full.

14. Third-Party Intellectual Property

All trademarks, logos, brand names and software belonging to third parties remain the property of their respective owners.

Nothing in this Policy transfers ownership of any third-party intellectual property.

15. Infringement

If We Catch It reasonably believes that material supplied by a client infringes the intellectual property rights of another person or organisation, we may:

• suspend services;
• remove the content;
• refuse publication;
• notify the client;
• comply with legal requests where required.

16. Changes to this Policy

We Catch It reserves the right to amend this Intellectual Property Policy at any time.

Updated versions will be published on our website.

Continued use of our services constitutes acceptance of the revised Policy.

17. Governing Law

This Policy shall be governed by the laws of Scotland.

Any disputes arising under this Policy shall be subject to the exclusive jurisdiction of the Scottish courts.
